USER AGREEMENT
General provisions
- The terms and conditions of this User Agreement (hereinafter the Agreement) apply to the legal relationships arising from the purchase of goods (hereinafter the Product, Products) from the E-shop between customers (hereinafter the Customer) and Telda OÜ, the owner of the shopping environment www.telda.lv (hereinafter the E-shop).
- The terms of the agreement cannot conflict with the legal regulations in force in the Republic of Estonia and, if necessary (in case of disputes or missing information), have been supplemented with these regulations.
- In addition to this Agreement, the relations between the Customer and the E-store are regulated by the E-store's price list and established good practices.
- The E-store reserves the right to unilaterally change the terms and conditions of this Agreement and the price list of the Products for the purposes of efficiency, competitiveness, future development of its activities, supplementing or reorganizing the assortment of Products.
- Changes and additions to the terms and conditions of the Agreement and the price list shall enter into force from the moment of the publication of the said information in the E-store. If the Client submitted his order before the changes to the terms and conditions of the Agreement entered into force, the terms and conditions of the Agreement in force at the time of submission of the order shall apply to the Client, unless otherwise provided by law or the terms and conditions of this Agreement.
- The Online Store and the Customer wish to trade on the terms and conditions set out in this document. By placing an order in the Online Store and making an advance payment, the Customer confirms that he or she has read and agrees to the terms and conditions of the Agreement.
Price list
- The prices of Products sold in the online store are given in euros and include 21% VAT.
- The product images shown are for illustrative purposes only and may differ from the actual Product.
- Product descriptions in the online store may not be exhaustive and may contain unintentional errors.
- The final cost of the order includes the cost of the Product(s), the cost of transportation and all taxes arising from the laws of the Republic of Estonia within the framework of this Agreement.
- The online store reserves the right to adjust prices. If the Customer submitted their order before the price changes came into effect, the price that was reflected on the invoice at the time the order was placed will apply to them.
Making a purchase and paying for the goods
- To place an order and make a purchase, the Customer must register as an E-shop user and log in to the E-shop environment. The smooth delivery of the Products purchased by the Customer and/or any additional costs and/or time that may arise depend on the accuracy and correctness of the data provided during registration.
- The customer's Shopping Cart is created the moment they click the "Add to Cart" button.
- The Customer can change the quantity of Products in the Shopping Cart and remove them from the Shopping Cart if necessary.
- To confirm the order of the Products in the shopping cart and complete the purchase, the Customer must click on the “Proceed to checkout” button.
Payment for ordered goods:
- By credit card. The Customer will be automatically directed to pay by credit card. The Customer pays 100% of the order amount immediately after completing the purchase. After making the payment, a payment confirmation will be automatically sent to the Customer's email address, which also serves as confirmation of the order. The order will be processed and this Agreement will be deemed concluded at the moment when the payment confirmation / order confirmation is sent to the Customer's email address.
- With a bank link. The Customer is automatically directed to pay via the bank link. The Customer pays 100% of the order amount immediately after completing the purchase. After confirming the payment order and clicking the “Back to merchant” button, a payment confirmation is automatically sent to the Customer’s e-mail address, which also serves as a confirmation of the order. The order will be processed and this Agreement is deemed to be concluded at the moment when the payment confirmation / order confirmation is sent to the Customer’s e-mail address.
- In the E-shop, 100% payment of the order amount is recommended. The Customer may exercise the right to purchase Products with a 50% prepayment. To do this, the Customer must contact the E-shop by writing to epood@telda.lv after registering as a user, reviewing the Agreement and selecting the necessary Products. The Customer will be issued a prepayment invoice with a 48-hour payment deadline and the Customer is obliged to check that the information on the invoice matches the order. This Agreement is deemed concluded and the order will be fulfilled from the moment 50% of the total amount indicated on the invoice has been received by the E-shop's bank account according to the payment deadline. If the money is not received within the payment deadline, the order and prepayment invoice will be automatically cancelled. If the Customer has paid 50% of the total invoice amount, the second 50% installment will be paid at least 1 (one) day before the goods are handed over to the company providing the transport service (hereinafter referred to as the Carrier).
- The Customer has the option to change the order before clicking the "Place Order" button.
- The Customer cannot change the submitted order, i.e. once the order confirmation has been sent to the Customer's e-mail address. To make changes, a corresponding application must be sent to the e-mail address epood@telda.lv no later than the day when the E-shop administrator has sent information about the time of delivery of the Products to the Customer's e-mail address. The advance payment for a canceled order (excluding shipping costs) will be returned no later than 30 (thirty) days after the Customer's application reaches the E-shop.
- Within two working days of concluding the Agreement, the E-Store Administrator will send information about the time of delivery of the Products to the Customer's e-mail address and submit an invoice for the order.
Product issuance and delivery
- The descriptions of the Products in the E-Store assortment contain information about the time of their release from the E-Store warehouse:
- “In stock” – Products that are available in the E-store’s warehouse. The goods will be shipped within three business days;
- “Delivery time 1-2 weeks", Delivery time 3-4 weeks" – Products that are imported according to the customer's order. The goods will be issued according to the indicated delivery time;
- The e-store administrator sends the Carrier details and delivery date to the Customer by e-mail.
- The information sent to the Customer's email address regarding the delivery time of the Products is valid if 100% of the order amount has been paid on the day the order is placed. The delivery of the Products to the Carrier is delayed by the number of days between the order being placed and the receipt.
- The E-Store undertakes to inform the Customer of any changes in the delivery time of the Products as soon as possible after receiving the information.
- The Customer is obliged to immediately notify the E-shop of any change in the destination. After the Products have been handed over to the transport company, changing the destination is no longer possible.
- The accuracy and correctness of the data provided in the order determines the avoidance of delays and misunderstandings in the delivery of the goods. The E-shop is not responsible for delays in the delivery of the Products and any misunderstandings that may arise if the delay or misunderstanding is due to inaccuracy of the data provided by the Customer when placing the order.
- The Products are delivered to the Customer by the Carrier on the basis of a consignment note. Before accepting the goods and signing the consignment note, the E-shop recommends that the Product packaging be inspected. In case of visible damage, the E-shop recommends that the goods not be accepted. By signing the consignment note, the Customer confirms that the packaging was intact at the time of delivery of the goods or that he is satisfied with the condition of the packaging (the goods are not damaged).
- The product with damaged packaging must be returned to the Carrier and the information must be sent to the e-mail address info@telda.lv or by calling the contact number +372 6622 031.
- The E-shop has entered into a contract with the Carrier for the transportation of the Products, but this does not entail the E-shop's obligation to deliver the Products to the Customer. The obligation to deliver the Product to the Customer is deemed fulfilled for the E-shop from the moment the goods are handed over to the Carrier (VÕS §209, p.4).
Right of return
- The Customer has the right to return the Product within 14 days of receipt of the goods (except for special orders).
- To return the product, the Customer must submit a written withdrawal application, which must include: Customer's name and contact details; date of submission of the application; we recommend also writing down the reason for returning the Product; order confirmation and invoice number. The returned Product must be unused and the withdrawal application must be sent to the E-store in writing at info@telda.lv or at the contact address within the deadline (i.e. 14 days).
- In the event of a product return, the amount paid for the Product (excluding shipping costs) will be refunded no later than 30 (thirty) days from the date of receipt of the goods at the E-store warehouse, provided that the withdrawal form has reached the E-store within the deadline.
- The e-store will bear the return shipping costs if the Product has damage that could not be detected by external inspection and that did not occur when the package was opened, or if the Product does not correspond to the Product in the Customer's order.
- If the returned Product is damaged and the situation is caused by circumstances arising from the Customer's improper use of the Product or negligence, the E-shop reserves the right to offset the decrease in the value of the Product with the amount paid by the Customer for the Product and subject to refund and not to pay the transportation costs associated with returning the Product. If the Customer does not agree with the decrease in value indicated in the offset, he or she has the right to use an independent expert's assessment to determine the decrease in the value of the returned Product or to identify the culprit in the situation.
- If the Customer loses interest in purchasing the Product due to the longer delivery period, the Customer has the right to cancel their order by sending a corresponding application to info@telda.lv. The advance payment paid by the Customer will be refunded no later than 30 (thirty) days after the Customer's application reaches the E-store.
- The E-store reserves the right to cancel the Customer's order if the E-store is unable to deliver the ordered Product for any reason and the Customer does not agree with the replacement product offered by the E-store. The advance payment for the canceled order will be refunded no later than 30 (thirty) days after the written notification sent by the E-store reaches the Customer's e-mail address.
Time and procedure for submitting a claim
- According to the Law of Obligations Act in force in the Republic of Estonia, the Customer has the right to file claims for non-compliance of the Product with the terms of the contract within 2 (two) years from the date of receipt of the Product. In the event of a defect occurring within the first six months, it is assumed that it existed at the time of purchase and the nature of the defect must be determined by the E-store.
- If a defect in the product occurs, the Customer undertakes to notify the E-shop of the problem by e-mail at info@telda.lv and provide the following information: - name and contact details; - date of filing the complaint; - order confirmation and invoice number; - Product serial number; - Product defect (description of the defect, photos if possible); - Claim to be submitted to the E-shop. The corresponding application must be sent no later than two months after the defect was discovered. In case of failure to comply with the specified deadline without a valid reason, the Customer loses the right to demand that the E-shop repair the Product or replace the part free of charge.
- After filing the claim, the E-shop undertakes to provide a written response to the Customer's complaint within 15 days.
- In the case of a defective Product, the E-store undertakes to repair, replace or compensate for the defective Product if the manufacturing defects have caused the Product to become unusable.
- In the event of a replacement of a Product that does not meet the requirements, the E-Store has the right to require the Customer to return the Product.
- The Customer may only request a refund if the repair or replacement of the Product is not possible or fails, or if the E-store unjustifiably refuses to repair or replace the Product or does not do so within a reasonable time after receiving the relevant application.
- In the event of a refund for a non-conforming Product, the amount paid for the Product (including shipping costs) will be refunded no later than 30 (thirty) days from the date on which the Product has arrived at the E-store warehouse.
- The online store is not responsible for:
- For damage to the product caused by the customer's fault or negligence;
- For defects that have arisen as a result of improper use of the Product;
- For natural physical wear and tear of the product under normal use.
Liability and force majeure
- The Online Store and the Client are liable to each other for any damage caused to the other party by violating the terms and conditions of this Agreement in the cases and to the extent provided for in the legislation in force in the Republic of Estonia.
- Neither party shall be liable to the other party and its conduct shall not be considered a breach of these Terms and Conditions for any delay or failure to perform any of its obligations if the reason for such delay or failure was beyond the control of such party (force majeure).
- The online store does not compensate for moral damage that may be caused to the Customer by changing delivery times, prices and other conditions within the framework of these terms and conditions.
- The E-store will not compensate the Customer for any costs incurred due to the fact that the Customer assumed obligations towards third parties (not dependent on the E-store) on terms that are inconsistent with these terms and conditions.
- The online store will not compensate the Customer for unused opportunities that arise as a result of changes in delivery times, prices, and other conditions.
Privacy
- The e-store uses the information provided by the Customer only to fulfill the Customer's purchase order. The e-store does not disclose information obtained during user registration and purchase to third parties, except in cases prescribed by law. The communication between the bank and the buyer is protected by SSL (Secure Socets Layer) - a security protocol that ensures that the information exchanged cannot be intercepted or changed by unauthorized persons. The information exchanged between the bank and the merchant is equipped with digital signatures.
- If desired, the Customer has the right to request the deletion of their personal data from the E-store database by sending a letter to this effect to the e-mail address info@telda.lv.
- In matters not regulated by the terms of this Agreement, the Client and the E-store shall be guided by the legislation in force in the Republic of Estonia and other acts regulating the relations between the parties.
- The parties shall resolve any disagreements and disputes arising from the fulfillment of the terms and conditions of this Agreement primarily through negotiations. If disputes arising from the Agreement cannot be resolved through negotiations between the parties, both the Client and the E-store have the right to turn to the Consumer Protection Board or the Court to protect their rights.
